Visa Advertising Solutions (“VAS”) Annual Agency Gingerbread Contest 2018
Official Rules
NO PURCHASE OR OBLIGATION NECESSARY TO ENTER OR WIN.
1. Eligibility: The VAS Annual Agency Gingerbread Contest (“Promotion”) is open to legal residents of the fifty (50) U.S. and DC, 18 years of age or older, who are employed at an eligible U.S. business (the “Agency”) who engage with Visa Advertising Solutions through targeting or measurement products and are a Media Agency partner, Ad Tech Platforms or Ad Solutions brand-direct client agency as of 11/26/18. Employees of the Visa U.S.A. Inc. (“Sponsor”), Visa Inc., Visa International Service Association, and their respective parents, successors, affiliates, subsidiaries, trustees, and client financial institutions, and each of their respective agents, representatives, officers, directors, shareholders, and employees (collectively, “Releasees”), and each of their immediate family members (spouse, parents, children, siblings, and their respective spouses, regardless of where they live) and individuals living in the same households of each of these individuals, whether related or not, are not eligible to enter or win. Promotion is subject to all applicable federal, state, and local laws and regulations. The Promotion is governed by U.S. law. Void where prohibited or restricted by law. Participation and prize award is subject to any applicable company policies or restrictions concerning programs such as this.
2. To Enter: The Promotion begins on 11/27/18 and ends on 12/21/18 (“Promotion Period”). Agency (as defined above) who work with Visa and/or Visa clients during the Promotion Period are eligible to submit one (1) entry into the Promotion. Agency can enter during the Promotion Period between the hours of 8:00 AM ET and 9:00 PM ET by sending an email with your name, company name, names and emails of all teammates, team captain name (who all communication will be funneled through), address, city, state, zip, day and evening phone numbers (including area code), the team’s original team name and their Gingerbread kit entry picture (“Artwork”) to VisaAdvertising@visa.com. No mechanical reproductions permitted. Entries become the property of the Sponsor and will not be returned.
3. ARTWORK REQUIREMENTS: By submitting an entry, each entrant represents and warrants that the artwork he or she submits meets the following criteria:
• It must be an original work created by him or her that does not contain, incorporate or otherwise use any content, material or element that is owned by a third party. It must also incorporate the Visa logo cookie into the overall design.
• It must not include content which is derogatory, offensive, threatening, defamatory, disparaging, libelous, indecent, religious, political, sexual, profane, tortuous, slanderous, discriminatory in any way, or that promotes hatred or harm against any group or person, or otherwise does not comply with the theme of the Promotion.
• INTELLECTUAL PROPERTY RIGHTS: Each entrant shall retain ownership of all intellectual property rights in the submitted gingerbread house(s). By entering the Contest, entrant grants to Visa a non-exclusive, perpetual, worldwide, royalty-free license to use, modify, reproduce, adapt and distribute the gingerbread artwork(s) in connection with the Contest.
During the Promotion Period, the VAS team will be evaluating each entry to ensure that it does not violate the artwork requirements.
4. SELECTION OF WINNER: From December 3, 2018 at 9:00 AM PT through December 17, 2018 at 5:00 PM PT, VAS team members will review each eligible entry received within the Promotion Period and will select winners. The selection will be based on VAS team judgment of the gingerbread entries that most closely align with contest superlatives including: originality; holiday spirit; best use of Visa logo; team spirit and others. The VAS team will announce the winners on January 7, 2019. The VAS team decision is final and no correspondence will be entered into concerning the selection of winners. Winners will be announced via e-mail.
5. Prizes: One (1) Grand Prize: an approximate retail value (“ARV”) within $100. One (1) Second Place Prize: an approximate retail value (“ARV”) within $75. One (1) Winner’s Choice Prize: an approximate retail value (“ARV”) within $25. The winning gingerbread prizes will be shared with all team entrants and each of the winning teams will receive Visa-branded certificated.
6. Prize Restrictions: Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Prizes are not transferable or redeemable for cash, unless otherwise specified herein. No substitution of any prize permitted except at the sole discretion of Sponsor who reserves the right to substitute a prize (or portion thereof) of comparable or greater value. Any portion of prize not accepted by winner will be forfeited. Federal, state, and local taxes on prize, if any, and any costs and expenses relating to the acceptance and use of a prize not specified herein as being awarded are the sole responsibility of winner. Limit one prize per person, team, company, household, or address.
7. Prize Claim: Each potential Grand prize, Second Place Prize, and Winner’s Choice Prize winner will be notified by email. Prize will be awarded in the name of the team captain unless company policy prohibits employees from receiving prizes in their own names, in which event the prize will be awarded in the name of the company or as otherwise provided under the company’s policy. In the event of noncompliance with these Official Rules, or if Grand, Second Place, or Winner’s Choice prize notifications are unclaimed or returned as undeliverable, or if a winner chooses to decline a prize for any reason, the prize will be forfeited and, at Sponsor’s sole discretion, be awarded to an alternate winner. A Second Place Prize winner will receive his/her prize via U.S. mail within 4 weeks of the announcement of winners.
8. Additional Terms: By participating, entrants agree to: a.) the Official Rules and the decisions of the judges and Sponsor, which shall be final in all respects; and b.) release, discharge, and hold harmless Visa U.S.A. Inc., Visa Inc., Visa International Service Association, their respective client financial institutions, and each of their respective parent companies, subsidiaries, affiliates, prize suppliers, advertising and promotion agencies, their respective parents, subsidiaries and affiliates, and each of their respective officers, directors, shareholders, agents, and employees of the aforementioned entities (collectively, the “Releasees”), from any liability, claims, or damages arising out of their participation in the Promotion and the acceptance, use, misuse, or possession of any prize. By accepting a prize, winner agrees to, where legal, Sponsor’s and its designees’ use of his/her name and/or likeness and Merchant/Vendor’s name, trademarks and logos for advertising and publicity purposes in any and all media now or hereafter known throughout the world in perpetuity without compensation, notification or permission and, upon request, will provide consent to such use in writing. As a condition of entering the Promotion, participant (or parent/legal guardian if participant is a minor) agrees that: a.) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; b.) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and c.) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees. Sponsor reserves the right to modify prize award procedures at its discretion.
9. Limitation of Liability: Releasees are not responsible for technical, network, mechanical, telephonic, printing, typographical, human or other errors relating to or in connection with the Promotion, including, without limitation, errors which may occur in connection with the administration of the Promotion, the processing of entries, the announcement of the prizes or in any Promotion-related materials; for stolen, lost, late, misdirected, undelivered, delayed, inaccurate, damaged, incomplete, illegible, or postage-due mail, orders or entries; or for orders that are lost, misdirected, or fail to enter into the processing system; or are processed, reported, or transmitted late or incorrectly; or are lost for any reason, including computer, telephonic, paper-transfer, or human error, or electronic, computer, or telephonic malfunction, damage, error, omission, interruption, defect, delay in operation or transmission, or any combination thereof. If, for any reason, this Promotion is not capable of running as planned, or infection by computer viruses, bugs, or tampering, unauthorized intervention, fraud, actions of entrants, technical failures, or any other causes corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right at its sole discretion to disqualify any entry or entrant and/or to cancel, terminate, modify, or suspend the Promotion and, if terminated, at its sole discretion award the prizes from among all eligible, non-suspect entries validly received prior to such action. By entering, all entrants agree that this Promotion is governed by laws of the United States with venue in San Francisco, CA, for the resolution of all claims and disputes (excluding any claims against or disputes involving parties other than Sponsor relating to any prize awarded in the Promotion).
10. Winners’ List: An email will be sent out to all contest participants to announce the list of winners.
